Welcome to Simplify Technology ("Simplify Technology," "we," "us," or "our"). These Terms & Conditions ("Terms") govern your access to and use of our website (simplify-technology.com), our online scheduling and ecommerce features, and any on‑site or remote technology services, consulting, and related products (collectively, the "Services").
By using our website, booking an appointment, signing a work order, or purchasing a product or plan, you agree to these Terms. If you do not agree, please do not use the Services.

These Terms are governed by the laws of the State of Louisiana, without regard to its conflict of law provisions. See Section 15 for dispute resolution details.
2. Scope of Services
We provide consumer and small‑business technology support and consulting, including (without limitation): device setup, data migration, diagnostics, virus/malware remediation, networking and Wi‑Fi configuration, email/account security, password manager setup, digital organization, and general IT consulting. Certain projects may require third‑party hardware, software, subscriptions, or specialized partners.
We may offer Services on‑site (at your home or business) or remotely via secure remote‑support tools. Some issues may require on‑site visits even if a remote session is attempted first.
3. Booking, Appointments & Cancellations
Scheduling. Appointments are scheduled online or by phone. We may request a brief pre‑screen to confirm scope and feasibility.
Minimums & increments. On‑site work is billed with a 1‑hour minimum then in 15‑minute increments. Remote sessions have a 30‑minute minimum then in 15‑minute increments.
Rescheduling & cancellation. Please provide 24 hours’ notice to avoid a fee. Cancellations with less than 24 hours’ notice, or missed appointments, may incur a cancellation fee up to one hour of service.
Safety & access. We reserve the right to decline or end an appointment if conditions are unsafe or access is not available. Travel outside our standard radius may incur a travel fee (see Section 5).
4. Quotes, Time Estimates & Work Authorization
Any quotes or time estimates are good‑faith estimates based on the information available and are not guarantees. Technology issues can be complex, interdependent, and unpredictable.
You authorize us to perform the requested work up to the approved scope. If we discover additional issues or risks, we will seek your approval before proceeding beyond the agreed scope or budget.
5. Pricing, Payments & Taxes
Rates. Unless otherwise stated in a signed proposal:

Residential On‑site support: $125/hour (1‑hour minimum), then billed in 15‑minute increments.

Residential Remote support: $100/hour (30‑minute minimum), then billed in 15‑minute increments.

Business On-site support: $150/hour (1‑hour minimum), then billed in 15‑minute increments.

Business Remote support: $125/hour (30‑minute minimum), then billed in 15‑minute increments.

After‑hours / emergency work (outside 9am–6pm CT or weekends/holidays): billed at 1.5× the applicable rate.

Travel: jobs located more than 20 miles from West Monroe, LA may incur $0.65/mile and/or a flat trip fee.
Materials & third‑party costs. Hardware, software, licensing, shipping, and third‑party services are billed separately and may require prepayment.
Payment timing. Payment is due at completion of each session/visit unless otherwise stated in writing. We accept the payment methods shown at checkout or on your invoice. Sales taxes, if applicable, will be added.
Late payments. Overdue balances may incur a 1.5% monthly late fee (or the maximum allowed by law) and collection costs, including reasonable attorney’s fees.
Chargebacks. Initiating a chargeback for validly delivered Services may result in suspension of further Services and additional fees.
6. Client Responsibilities (Backups, Access & Licensing)
Backups. You are responsible for maintaining current, verified backups of your systems and data before we begin work. If you ask, we can help you set up backups as a billable service.
Access & credentials. You agree to provide timely access, passwords, multi‑factor codes, and any necessary administrative permissions. You represent that you are authorized to grant access to the systems and accounts involved.
Licenses & legality. You are responsible for ensuring that your software and content are properly licensed and legally compliant. We will not install or activate unlicensed software.
7. Remote Access Consent & Monitoring
For remote sessions, you consent to our use of remote‑support tools to access your device(s). You may terminate the session at any time. Sessions may be logged for security and troubleshooting. We will only access systems and data reasonably necessary to perform the Services.
8. Data Security, Privacy & Confidentiality
We take reasonable administrative, technical, and physical safeguards to protect information we handle during the course of providing Services. However, no method of transmission or storage is completely secure. Please review our Privacy Policy for details on how we collect, use, and disclose personal information.
We treat your non‑public information as confidential and use it solely to deliver the Services or as required by law.
9. No Guarantees; Risk of Data Loss & Downtime
While we strive for successful outcomes, we cannot guarantee that an issue will be fully resolved, that data can be recovered, that malware can be completely removed, that performance will meet a particular specification, or that Services will prevent future issues.
Important risk disclosure: Technology work carries inherent risks, including data loss, corruption, diminished performance, incompatibilities, and downtime. You acknowledge these risks and agree that we are not responsible for losses arising from such inherent risks, except to the extent caused by our gross negligence or willful misconduct.
10. Warranty Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON‑INFRINGEMENT. THIRD‑PARTY PRODUCTS AND SERVICES ARE SUBJECT TO THEIR OWN WARRANTIES (IF ANY) FROM THE MANUFACTURER OR PROVIDER.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SIMPLIFY TECHNOLOGY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE(S) AT ISSUE IN THE 90 DAYS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain limitations; in such cases, the foregoing limitations apply to the maximum extent permitted by law.
12. Returns, Refunds & Credits
Service fees are non‑refundable once Services have been rendered. If you experience issues after our work, contact us within 7 days; we may, at our discretion, offer additional troubleshooting at a reduced rate or a courtesy follow‑up. Hardware and software purchases are subject to the manufacturer’s or distributor’s return policy.
Gift cards, pre‑paid hours, and service credits (if offered) are non‑transferable, have no cash value, and expire 12 months from purchase unless stated otherwise.
13. Subscriptions, Retainers & Managed Plans (If Applicable)
If you enroll in a recurring plan (e.g., managed updates, monitoring, or a retainer block of hours):

Plans renew automatically at the stated interval until canceled.

Unused hours do not roll over unless explicitly stated.

Cancel anytime with 30 days’ notice before the next renewal date to avoid the next charge.
Plan‑specific terms provided at signup will control in the event of a conflict with these Terms.
14. Website Use; Acceptable Use
You agree not to misuse our website or systems. Prohibited activities include: attempting unauthorized access, interfering with the website’s operation, introducing malware, scraping without permission, or using the Services for unlawful purposes.
Accounts you create must be accurate and kept secure. You are responsible for all activity under your credentials.
15. Dispute Resolution; Venue; Time to File
Before filing a claim, the parties will attempt to resolve disputes informally in good faith within 30 days after written notice.
Option A — Small Claims / Court Venue (default): If not resolved, disputes may be brought in the state or federal courts located in Ouachita Parish, Louisiana, and both parties consent to personal jurisdiction and venue there.
Option B — Arbitration (optional): If you prefer binding arbitration instead of court, we can mutually agree in writing to submit the dispute to arbitration under the Commercial Arbitration Rules of the American Arbitration Association (“AAA”), with a single arbitrator seated in Monroe, Louisiana. Each party bears its own fees; the arbitrator may award fees to the prevailing party as permitted by law. Class actions are waived.
Time limit. Any claim must be filed within one (1) year after it arose or be forever barred, to the extent permitted by law.
16. Indemnification
You agree to indemnify and hold Simplify Technology harmless from claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your misuse of the Services; (b) your breach of these Terms; or (c) any claims that content or software you provided infringes the rights of others.
17. Third‑Party Services & Links
We may recommend or integrate third‑party products and services (e.g., antivirus software, cloud backup, email providers). We are not responsible for third‑party terms, performance, security, or support. Your use of third‑party solutions is governed by their terms and privacy policies.
18. Intellectual Property
All content on our website—including text, graphics, logos, icons, and software—is owned by or licensed to Simplify Technology and is protected by intellectual‑property laws. You may not copy, reproduce, or create derivative works without our prior written consent, except as permitted by law.
19. Changes to the Services or These Terms
We may modify the Services or these Terms at any time. Changes take effect when posted on our website with an updated “Last updated” date. Your continued use of the Services after changes become effective constitutes acceptance.
20. Severability; Assignment; Entire Agreement
If any provision is found unenforceable, the remaining provisions remain in effect. You may not assign your rights or obligations under these Terms without our consent; we may assign to an affiliate or in connection with a merger or sale. These Terms, together with any signed proposals, work orders, plan terms, and our Privacy Policy, constitute the entire agreement between you and Simplify Technology regarding the Services and supersede prior understandings.
